欢迎使用数能觉醒（深圳）科技有限公司（以下简称“我们”）提供的 WakeQora。个人或组织用户（以下简称“您”）注册、登录、授权或使用服务，即表示已阅读、理解并同意本条款和《隐私政策》。
服务说明
WakeQora 是面向电商团队的 AI 辅助广告运营 SaaS，可基于用户自行授权的数据提供账户同步、报表、数据分析、诊断、策略建议、知识沉淀、团队审批和操作审计。部分版本也可能提供商品、库存、订单和其他运营辅助能力。
账户、团队与授权
- 您应提供真实、准确的信息，并妥善保护账户、登录方式和团队权限。
- 您只能连接自己有权管理的平台账户、店铺、广告账户和数据。
- 平台连接为团队共享连接时，由管理员维护连接；其他成员的操作范围由团队和资产权限控制。
- 您可随时在 WakeQora 或相应第三方平台撤销授权。撤销后，依赖该授权的功能将停止。
Google Ads Beta
- Google Ads 连接使用 Google OAuth，不要求用户上传 OAuth JSON、Client Secret 或 Developer Token。
- Google Ads 授权属于完成授权的用户本人，不与空间内其他成员共享。WakeQora 仅访问该用户依据 Google Ads 角色有权管理的 Manager 和广告账户。
- 报表和分析可能为只读；创建、更新、预算、状态等写操作应由有权限的用户发起，并遵循产品内审批或确认流程。
- Google Ads Beta 可能调整功能、配额和可用范围。Google Ads 的可用性还受 Google API、账户权限、配额和平台政策约束。
用户责任与可接受使用
您应遵守适用法律和第三方平台条款，不得越权访问数据、绕过权限和审批、传播恶意代码、干扰服务、实施欺诈、制作违法或误导性广告，或利用服务侵害他人权益。您应核验数据、建议和拟执行操作，并对最终业务决策负责。
AI 建议与操作确认
WakeQora 提供的数据分析、AI 输出、预测和建议仅用于辅助决策，不保证特定广告表现、收入或经营结果。涉及预算、出价、暂停、否词、账户结构或其他重要变化时，用户应在授权范围内审阅并确认。我们会尽力提供操作记录和审计信息，但用户仍应维护合理的业务复核和风险控制。
数据与隐私
我们根据必要、透明、授权和最小化原则处理信息。具体的数据类型、Google API Limited Use 承诺、共享、安全、保留、删除和用户权利，请参阅《隐私政策》。
第三方平台
Amazon、Google Ads 及其他第三方平台由各自运营，其登录、授权、API、账号、广告和计费服务受其条款与政策约束。第三方平台的中断、限制、政策调整或账号处置可能影响 WakeQora 功能，我们无法控制或保证第三方服务持续可用。
费用、知识产权与用户内容
具体套餐、额度、计费周期和付款方式以订阅页面或订单为准。WakeQora 软件、界面、文档和技术归我们或许可方所有。您保留对合法上传内容和业务数据的权利，并授权我们在提供和改进您所使用的服务所必需的范围内处理这些内容。
服务变更、终止与责任限制
我们可能因产品、法律、安全或第三方平台变化调整服务，并对重大变化提供合理通知。用户可停止使用服务；违反条款、安全风险或法律要求可能导致暂停或终止。在法律允许的最大范围内，服务按“现状”和“可用”提供，我们不对间接、附带、特殊或后果性损失，以及第三方平台或用户决策造成的损失承担责任。
适用法律与联系
本条款适用中华人民共和国法律。争议应先友好协商；协商不成的，可提交数能觉醒（深圳）科技有限公司所在地有管辖权的法院。联系邮箱：support@datawake.ai。
Acceptance
Welcome to WakeQora, provided by 数能觉醒（深圳）科技有限公司 ("we," "us," or "our"). By registering, logging in, authorizing a platform, or using the Services as an individual or organization ("you"), you acknowledge that you have read, understood, and accepted these Terms and the Privacy Policy.
Services
WakeQora is AI-assisted advertising operations SaaS for ecommerce teams. Based on data expressly authorized by users, it may provide account synchronization, reporting, analytics, diagnostics, recommendations, knowledge management, team approvals, and operation audits. Some editions may also provide product, inventory, order, and related operational assistance.
Accounts, Teams, and Authorization
- You must provide accurate information and protect your account, login methods, and team permissions.
- You may connect only platform accounts, stores, advertising accounts, and data that you are authorized to manage.
- When a platform connection is shared with a team, administrators maintain the connection and member access remains controlled by team and asset permissions.
- You may revoke authorization through WakeQora or the applicable third-party platform. Features that depend on the authorization will stop after revocation.
Google Ads Beta
- Google Ads connections use Google OAuth. Users are not asked to upload OAuth JSON, a Client Secret, or a Developer Token.
- A Google Ads authorization belongs only to the user who completed it and is not shared with other workspace members. WakeQora accesses only Managers and advertising accounts that user is permitted to manage under their Google Ads roles.
- Reports and analytics may be read-only. Creation, update, budget, status, and other write operations must be initiated by authorized users and follow in-product approval or confirmation workflows.
- Google Ads Beta functionality, limits, and availability may change. Availability also depends on Google APIs, account roles, quotas, and platform policies.
User Responsibilities and Acceptable Use
You must comply with applicable law and third-party platform terms. You must not access data without authorization, bypass permissions or approvals, distribute malicious code, interfere with the Services, commit fraud, create unlawful or misleading advertising, or infringe the rights of others. You are responsible for reviewing data, recommendations, and proposed operations and for final business decisions.
AI Recommendations and Operation Confirmation
WakeQora analytics, AI outputs, forecasts, and recommendations support decision-making and do not guarantee advertising performance, revenue, or business results. Users should review and confirm changes involving budgets, bids, pauses, negative criteria, account structure, or other material actions within their authorization. We aim to provide operation and audit records, but users remain responsible for reasonable business review and risk controls.
Data and Privacy
We process information based on necessity, transparency, authorization, and minimization. See the Privacy Policy for data categories, the Google API Limited Use commitment, sharing, security, retention, deletion, and user rights.
Third-Party Platforms
Amazon, Google Ads, and other third-party platforms are operated independently. Their login, authorization, API, account, advertising, and billing services are governed by their own terms and policies. Third-party outages, restrictions, policy changes, or account actions may affect WakeQora, and we cannot control or guarantee continued availability of third-party services.
Fees, Intellectual Property, and User Content
Plans, quotas, billing periods, and payment methods are shown on the subscription page or order. WakeQora software, interfaces, documentation, and technology belong to us or our licensors. You retain rights in lawfully submitted content and business data and authorize us to process them only as necessary to provide and improve the Services you use.
Changes, Termination, and Limitation of Liability
We may adjust the Services due to product, legal, security, or third-party platform changes and will provide reasonable notice of material changes. Users may stop using the Services. Violations, security risks, or legal requirements may result in suspension or termination. To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We are not liable for indirect, incidental, special, or consequential losses, or losses caused by third-party platforms or user decisions.
Governing Law and Contact
These Terms are governed by the laws of the People's Republic of China. Disputes should first be resolved through good-faith negotiation; unresolved disputes may be submitted to a court with jurisdiction where 数能觉醒（深圳）科技有限公司 is located. Contact: support@datawake.ai.
